1. Agreement and Scope

1.1 Acceptance. These Terms of Service (the "Terms") govern your access to and use of the physician-facing websites, forms, applications, onboarding flows, scheduling tools, text messaging, email communications, and related services provided by Forum AI Inc. d/b/a Tessellate ("Tessellate," "we," "us," or "our") (collectively, the "Services"). These Terms apply when you create an account, submit information, schedule an onboarding call, respond to Tessellate outreach, text a Tessellate number, click to accept, or otherwise use the Services.

1.2 Related policies. These Terms incorporate the Tessellate Physician Privacy Policy. If a separate written agreement between you and Tessellate expressly conflicts with these Terms for a specific subject, that written agreement controls for that subject only.

1.3 Who these Terms cover. These Terms are drafted for physician-facing Services. Separate terms, notices, or order forms may apply to employer-, survey-, or benchmark-specific workflows that do not involve your physician account or profile.

2. What the Services Are

2.1 Description. Tessellate is a physician-first career navigation, decision-support, and workflow platform. The Services may help you track jobs you are considering, build and maintain a private professional profile, compare opportunities, receive fit or market insights, ask role-specific questions before deciding whether to connect, authorize Tessellate to make a specific introduction or submission, and use optional workflow support such as packet preparation, scheduling coordination, and status tracking.

2.2 What the Services are not. The Services are not a public job board, a searchable physician resume database, a general recruiter marketplace, a law firm, an accounting firm, an immigration advisor, a credentialing company, a health care provider, or your employer. Tessellate does not make final hiring decisions, does not guarantee any opportunity or outcome, and does not sign contracts or accept offers on your behalf.

2.3 Current feature scope. The current physician-facing Services do not include public community posting, peer-to-peer messaging, or open marketplace listing features. If Tessellate later launches any of those features, supplemental rules may apply.

3. Eligibility, Accounts, and Verification

3.1 Eligibility. You may use the Services only if you are at least 18 years old, are legally able to enter into a binding agreement, your use is not prohibited by law, and you are a physician, physician-in-training, or another professional expressly permitted by Tessellate to use the physician-facing Services.

3.2 Accurate information. You must provide accurate, current, and complete information and keep it reasonably updated. You may not impersonate another person, submit deceptive or misleading information, create an account for someone else without clear authorization, or maintain multiple deceptive accounts.

3.3 Verification. To protect physicians and organizations, Tessellate may verify identity, licensure, sanctions, exclusion status, education, training, board status, NPI information, and related professional records using lawful public professional records, credentialing-related sources, documents you provide, and similar verification sources. Tessellate may request additional proof, suspend access, or limit features if it cannot reasonably verify your identity, eligibility, or the integrity of information provided through the Services.

3.4 Account security. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account, except to the extent caused by Tessellate's own acts or omissions. Please notify Tessellate promptly if you believe your account has been accessed without authorization.

4. Confidentiality and Consent-Gated Sharing

4.1 Private by default. Tessellate's default rule is confidentiality. Before you authorize a specific introduction, application, or submission to a named organization, Tessellate will treat your identifiable physician profile and related materials as confidential. Tessellate will not make your profile publicly searchable, disclose your identity to organizations for recruiting consideration, or share your identifiable documents or contact information for recruiting or outreach purposes.

4.2 What Tessellate may do while you remain private. While you remain private, Tessellate may use non-identifying, masked, de-identified, or aggregated information derived from your profile and activity to evaluate role fit, ask role-specific questions anonymously, validate role details, generate benchmark or market insights, improve the Services, and create physician-facing or organization-facing insight products, provided that those uses are designed not to reasonably identify you.

4.3 What changes when you approve a specific action. When you authorize Tessellate to make a specific introduction, application, or submission, Tessellate may share only: (a) the materials, answers, and profile elements you select or that are clearly identified in the workflow as part of that action; (b) limited administrative details strictly necessary to carry out that action, such as scheduling availability, confirmation that required documents are on file, or clarifications you separately approve; and (c) information reasonably required by the named recipient or its disclosed application system to process the action you approved. You may give that authorization in the Services or in writing to your Tessellate career advocate, such as by chat or email. You choose whether a FastPass is shared anonymously or with your name, and Tessellate sends identified materials, such as a FastPass with your name, only after you approve the materials and the recipient. Tessellate will not materially expand the scope of identifiable sharing without your further authorization except where disclosure is required by law.

4.4 Recipient systems. If you approve a submission through an organization's applicant tracking system, a disclosed staffing partner, an MSP/VMS workflow, or another recipient-controlled system, that recipient's own terms and privacy practices govern information once it is in that system. Tessellate remains responsible for its own handling of your data before disclosure, but Tessellate is not responsible for the independent acts or omissions of recipient-controlled systems or parties you approved for disclosure.

4.5 Current employer, references, and contacts. Tessellate will not contact your current employer, references, colleagues, or other third parties about you unless you direct Tessellate to do so or such contact is clearly part of an action you specifically approve.

4.6 Activity records and exports. Tessellate maintains records of where and when Tessellate transmitted your materials at your direction and will provide a summary on request. You may also request a portable export of core profile materials, subject to reasonable verification and the Privacy Policy.

5. Optional T8 Assist and Limited Agency

5.1 Optional feature. You can use general physician-facing Services without turning on T8 Assist. If you enable T8 Assist for a specific opportunity or workflow, you appoint Tessellate as your limited, revocable, non-exclusive administrative agent solely for the tasks described in this Section 5 and only within the scope you enable.

5.2 Scope of limited authority. When you enable T8 Assist, Tessellate may, within the boundaries of your instructions: relay anonymous or identified questions; prepare or prefill application materials using information you provided or approved; assemble and transmit approved documents and attestations; coordinate interviews, follow-ups, and scheduling; and provide administrative status tracking.

5.3 No power to bind you. Tessellate does not have authority to sign offers, accept terms, negotiate binding legal commitments, make clinical representations on your behalf, or otherwise bind you. You review, attest, and sign for yourself.

5.4 Accuracy and attestations. You remain responsible for the accuracy, completeness, and legality of information Tessellate conveys on your behalf. Tessellate may require an attestation or confirmation before sending materials or taking other workflow actions.

5.5 Revocation. You may revoke T8 Assist at any time for future actions by telling your Tessellate career advocate or contacting Tessellate. Revocation does not reverse actions already taken at your direction and may limit or end features that depend on that authorization.

5.6 No broad fiduciary or professional-advisor role. Within the narrow scope above, Tessellate will use reasonable care in carrying out authorized administrative tasks. Tessellate is not your lawyer, accountant, tax advisor, immigration advisor, credentialing advisor, financial advisor, or clinical advisor, and Tessellate does not assume a broader fiduciary role except to the extent non-waivable law requires one within this limited scope.

6. Fees and Commercial Model

6.1 No physician fees. Tessellate does not charge physicians subscription fees, placement fees, success fees, contingency fees, or similar physician-paid charges for using the physician-facing Services.

6.2 Organization-side economics. Tessellate may receive subscription, software-access, benchmarking, measurement, implementation, workflow-support, or other fixed or service-based fees from health care organizations, employers, or related customers. Tessellate does not charge placement, contingency, success, or acceptance-based fees that vary based on any individual physician's identity, compensation, or decision to accept work.

6.3 De-identified insight products. Tessellate may use de-identified and aggregated data to create market briefs, benchmarks, workflow analytics, and related insight products for physicians, organizations, partners, or the public. Those products are intended to improve market transparency and physician leverage without reasonably identifying individual physicians, and Tessellate will apply disclosure controls designed to reduce re-identification risk.

6.4 Compensation neutrality. Tessellate does not ask or encourage organizations to reduce physician compensation to account for Tessellate's fees.

7. Your Content and Tessellate's Limited License

7.1 Your rights. As between you and Tessellate, you retain rights in the information, documents, and other content you submit or authorize through the Services ("Your Content"), subject to the rights granted in these Terms and the Privacy Policy.

7.2 Limited service license. You grant Tessellate a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, format, and otherwise use Your Content only as reasonably necessary to provide, secure, support, improve, and administer the Services; carry out actions you authorize; create de-identified or aggregated outputs; enforce these Terms; and comply with law.

7.3 Feedback. If you provide product suggestions, comments, or other feedback, Tessellate may use that feedback without restriction or obligation to you, provided Tessellate will not publicly attribute feedback to you without your permission.

8. Acceptable Use and Community Standards

8.1 Prohibited conduct. You may not, and may not encourage or assist others to:

  • scrape, crawl, spider, index, harvest, or otherwise collect data from the Services by automated means, including by bots, scripts, browser automation, or similar tools;
  • use data or content obtained from the Services to build, enrich, validate, or train a competing database, benchmark, model, or product, including AI or machine-learning systems, without Tessellate's written permission;
  • attempt to identify any physician, organization, or account from de-identified, masked, or aggregated outputs;
  • impersonate another person, misrepresent credentials or authority, or create false or deceptive accounts;
  • share account credentials, bypass access controls, probe or test vulnerabilities without authorization, or otherwise interfere with the security or integrity of the Services;
  • upload patient-identifiable information, protected health information, or other data you do not have the right to share;
  • submit false, manipulated, or bad-faith survey responses, benchmark inputs, or workflow data;
  • send spam, phishing messages, chain messages, malware, or harmful code;
  • use the Services or any information obtained from them to harass, discriminate against, retaliate against, defame, or improperly solicit physicians, organizations, or Tessellate personnel;
  • use physician data, organization data, or workflow data obtained through the Services for unauthorized recruiting, cold outreach, marketing, or sales outside the workflow Tessellate expressly permits;
  • reverse engineer, decompile, or attempt to derive source code or non-public components of the Services except to the extent non-waivable law expressly permits; or
  • use the Services in violation of law, regulation, third-party rights, or these Terms.

9. Suspension, Investigation, and Enforcement

9.1 Tessellate's rights. Tessellate may investigate suspected misuse, preserve logs and evidence, remove or restrict content or access, reject submissions, suspend features, or terminate accounts if Tessellate reasonably believes this is necessary to protect physicians, organizations, the Services, or Tessellate's legal or business interests, or to comply with law.

9.2 Cooperation and effect. Tessellate may cooperate with law enforcement, regulators, courts, or other lawful processes. Suspension or termination does not relieve you of obligations that accrued before the suspension or termination, and Sections that by their nature should survive will survive.

10. Third-Party Services and Recipient Systems

10.1 Tessellate service providers. Tessellate uses third-party providers for services such as cloud hosting, communications, customer relationship management, scheduling, document handling, analytics, AI processing, credential verification, security, and electronic signatures. When those providers act on Tessellate's behalf, Tessellate requires them by contract to process personal information only for authorized purposes and to protect it appropriately. Tessellate remains responsible for its own compliance with these Terms in managing those providers.

10.2 Recipient-controlled systems. Opportunity-related recipient systems - such as applicant tracking systems, credentialing tools, staffing firm systems, MSP/VMS portals, or other organization-controlled tools - are different. Once you instruct Tessellate to transmit your information into a recipient-controlled system, that recipient's own terms and privacy practices govern the information in that system. Tessellate is not responsible for the independent acts or omissions of those recipient-controlled parties or systems.

10.3 Availability and changes. The Services may rely on third-party tools, content, or integrations that change over time. Tessellate may add, modify, suspend, or discontinue integrations or parts of the Services at any time without liability, subject to applicable law.

11. Communications, Recordings, and Electronic Signatures

11.1 Service communications. By providing contact information and opting into communications, you agree that Tessellate may send you service-related emails, calls, and texts about onboarding, opportunities, scheduling, workflow status, account security, product updates, or support. Message and data rates may apply to text messages. You may opt out of non-essential messages using available instructions, but Tessellate may still send transactional or legally required communications. Tessellate's text channels are not for patient information or other sensitive data Tessellate has not asked you to send.

11.2 Recording policy. Tessellate does not record physician interviews, physician video interviews, or onboarding conversations by default. If Tessellate asks to record a support or troubleshooting call, Tessellate will do so only with your separate, explicit consent at that time. Tessellate may separately invite you to a research or usability session; Tessellate records those sessions only with advance notice and your explicit consent, and uses the recordings only to improve the Services.

11.3 Electronic records and signatures. You agree that electronic clicks, confirmations, consents, attestations, and signatures satisfy any legal requirement that a communication or signature be in writing, to the extent permitted by law.

12. AI-Enabled Features and Decision Support

12.1 Use of automated tools. Tessellate may use rules-based tools, analytics, and AI-enabled features to organize information, summarize role details, identify missing information, surface potential matches, explain fit drivers, and support internal operations. These outputs are decision-support tools only.

12.2 Your review and human oversight. Automated outputs may be incomplete, inaccurate, or based on imperfect inputs. You should use your own judgment before relying on them. Tessellate does not use solely automated decision-making to make decisions with legal or similarly significant effects about you without meaningful human review where required by law. Candidate-level fit outputs are not shared with organizations without your authorization.

13. Disclaimers

13.1 Service disclaimer. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TESSELLATE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

13.2 No guarantee of outcomes. Tessellate does not guarantee that any opportunity will remain available, that you will receive an interview or offer, that any organization will respond on any particular timeline, or that any relationship will lead to work or compensation.

14. Limitation of Liability

14.1 Excluded damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

14.2 Ordinary cap. TO THE FULLEST EXTENT PERMITTED BY LAW, TESSELLATE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $1,000 OR (B) THE AMOUNT YOU PAID TESSELLATE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. BECAUSE PHYSICIAN-FACING SERVICES ARE FREE, THE CAP WILL GENERALLY BE USD $1,000.

14.3 Narrowed confidentiality and security super-cap. If a claim arises solely from Tessellate's gross negligence or willful misconduct resulting in an unauthorized disclosure of your identifiable physician data contrary to your explicit recorded authorization or contrary to Tessellate's written privacy commitments, Tessellate's aggregate liability for proven direct damages under that claim will not exceed USD $25,000. This Section 14.3 does not apply to disclosures required by law, disclosures you directed, or acts of recipient-controlled systems or parties after disclosure at your direction.

14.4 Non-waivable rights. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

15. Indemnification

15.1 By you. You will defend, indemnify, and hold harmless Tessellate and its affiliates, officers, directors, employees, and agents from and against third-party claims, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your violation of these Terms or law; (c) your misrepresentation of identity, credentials, or authority; or (d) your instructions to Tessellate to transmit or share information, except to the extent the claim was caused by Tessellate's own gross negligence or willful misconduct.

16. Dispute Resolution; Arbitration; Class Waiver

16.1 Informal resolution first. Before filing a formal claim, you and Tessellate agree to try in good faith to resolve the dispute informally by written notice and discussion for at least 30 days. Notices under this Section may be sent to support@t8health.com or to the contact information associated with your account.

16.2 Agreement to arbitrate. Except for eligible small-claims matters and claims for injunctive or equitable relief to protect confidential information, intellectual property, or the security of the Services, any dispute arising out of or relating to these Terms or the Services will be resolved by confidential, binding arbitration on an individual basis, not in court. This arbitration agreement is governed by the Federal Arbitration Act.

16.3 Arbitration provider and process. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or other applicable AAA rules in effect when the arbitration is filed, as modified by these Terms. The arbitration may be conducted remotely, by documents only, or in a county reasonably convenient to you, as the applicable rules permit. If applicable law requires Tessellate to pay a larger share of arbitration fees than a court filing would require, Tessellate will do so.

16.4 Individual proceedings only. You and Tessellate each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, coordinated, representative, or private-attorney-general proceeding. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

16.5 Coordinated filings. If 25 or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the parties agree to follow any applicable AAA mass-arbitration procedures. If no such procedure applies, the demands will be administered in coordinated batches of up to 25 claimants each, in filing order, and the remaining demands will be stayed until the earlier batches are resolved. This provision is intended to manage efficiency only and does not authorize class or representative arbitration.

16.6 Opt-out right. You may opt out of this arbitration agreement by sending an email to support@t8health.com with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Terms. If you timely opt out, Sections 16.2 through 16.5 will not apply to you, but the rest of these Terms will remain in effect.

16.7 Court venue if arbitration does not apply. If arbitration does not apply or a court must decide a dispute, the dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to that venue and personal jurisdiction there, except to the extent applicable law requires otherwise.

16.8 Jury-trial waiver. To the fullest extent permitted by law, you and Tessellate waive any right to a jury trial for claims that are permitted to proceed in court.

17. Changes to Services or Terms

17.1 Service changes. Tessellate may add, modify, suspend, or discontinue any part of the Services at any time. Tessellate will use reasonable efforts to avoid material disruption where practical, but Tessellate is not liable for service modifications, suspensions, or discontinuations except as required by law.

17.2 Terms changes. Tessellate may update these Terms from time to time. If Tessellate makes a material change, Tessellate will post the updated Terms with a new effective date and give notice as required by law or as Tessellate reasonably determines is appropriate. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.

18. General Terms

18.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent federal law or Section 16 requires otherwise.

18.2 Claim limitation period. To the fullest extent permitted by law, any claim arising out of or relating to the Services or these Terms must be filed within one year after the claim arose, or it is permanently barred, unless applicable law requires a longer period.

18.3 Assignment. You may not assign these Terms without Tessellate's prior written consent. Tessellate may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, reorganization, or sale of assets.

18.4 Force majeure. Neither party will be liable for delay or failure to perform caused by events beyond that party's reasonable control, including failures of internet or telecommunications infrastructure, power outages, labor disputes, civil unrest, natural disasters, epidemics, government actions, or failures of third-party service providers not reasonably within that party's control.

18.5 Severability; waiver; interpretation. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. A party's failure to enforce a provision is not a waiver of future enforcement. Headings are for convenience only and do not affect interpretation.

18.6 Entire agreement. These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, are the entire agreement between you and Tessellate regarding the physician-facing Services.

18.7 Notices. Tessellate may send notices electronically to the email address or account associated with your use of the Services. You may send notices to Tessellate at support@t8health.com, or to any replacement legal notice address Tessellate publishes for that purpose.
